Terms and Conditions

These Terms and Conditions (the "Terms") constitute a binding legal agreement between you ("you," "your," or the "User") and RobottWorks, Ltd. ("RobottWorks," "TrackStage," "we," "us," or "our"), a corporation organized under the laws of British Columbia, Canada, and govern your access to and use of the TrackStage platform at trackstage.io, our marketing website at mytrackstage.com, our desktop and mobile applications, and related services (collectively, the "Service").

By creating an account, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms in their entirety, you are not permitted to access or use the Service.

Who Can Use TrackStage

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is greater, to register a TrackStage account. By using the Service, you represent and warrant that you satisfy this requirement and that you possess the legal capacity and authority to enter into these Terms on your own behalf or, where applicable, on behalf of the business or entity you represent.

Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account, whether or not authorized by you. You shall notify us without undue delay at info@robottworks.com upon becoming aware of any unauthorized access to or use of your account. RobottWorks shall bear no liability for any loss or damage arising from your failure to safeguard your credentials.

Plans, Billing, and Payment

3.1 Plans

The Service is offered under multiple subscription tiers (currently LITE, CREATOR, and PRO), each with distinct features and pricing as set out on our pricing page. RobottWorks reserves the right to introduce, modify, or discontinue any plan or feature at any time, subject to reasonable prior notice in respect of material changes affecting paid subscribers.

3.2 Free Trials

Certain plans (such as PRO) may be made available with a free trial period (currently fourteen (14) days). Where so stated, no payment method is required to commence a trial. If the trial is not cancelled prior to its expiry and a payment method is on file, the account may convert to a paid subscription; where no payment method is on file, the account will revert to a free or limited tier, or trial access will expire, as applicable.

3.3 Billing

Paid subscriptions are billed in advance, monthly or annually as selected at signup, through our third-party payment processor, Stripe. By supplying payment information, you authorize RobottWorks, acting through Stripe, to charge the designated payment method on a recurring basis until cancellation. RobottWorks does not store full payment card details; such data is processed directly by Stripe in accordance with Stripe's own terms and security standards.

3.4 Price Changes

RobottWorks may revise subscription pricing from time to time. Advance notice will be provided to existing subscribers before any price increase takes effect. Pricing identified as promotional or time-limited applies only for the period expressly stated.

3.5 Cancellations and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the then-current billing period, and access is retained until that date. Except where otherwise required by law, fees already paid are non-refundable, including in respect of partial billing periods. Claims of billing error should be directed to info@robottworks.com and will be reviewed in good faith.

3.6 Taxes

Prices do not include applicable taxes (such as GST/HST, VAT, or sales tax), which may be added at checkout depending on your location.

Your Content and Data

4.1 Ownership

You retain all right, title, and interest in and to the music, audio files, metadata, rights and split information, contracts, and other materials you connect, enter, or store in the Service ("Your Content"). RobottWorks claims no ownership interest in Your Content.

4.2 Access to Your Device

The TrackStage desktop application ("TrackSync") is installed on your device and accesses only those folders you elect to connect to it, together with the files and supporting components required to maintain that connection. TrackSync does not scan, index, access, modify, or transmit any other portion of your storage media, and RobottWorks has no visibility into or control over any other part of your device. Selection of connected folders is at your sole discretion, connections may be terminated by you at any time, and you remain solely responsible for the security, backup, and organization of files residing on your own device.

4.3 How Your Files Are Handled

The Service operates against files residing on your own device; connecting a track establishes a reference to the file in its existing location, and your library is not uploaded to RobottWorks. One exception applies: where you connect an MP3 as a primary or alternate track, a copy of that MP3 is cached on our servers for the purpose of generating a shareable streaming link and enabling pitching without a separate upload.

Cached MP3s are not indexed or listed publicly unless you expressly elect to feature the applicable track on your public showcase. You should note, however, that any streaming link you generate — whether shared through the pitch function or by copying the URL — is accessible to any person who obtains that link, and may be forwarded by its recipient. Such links are unlisted rather than access-controlled, and you are responsible for determining with whom they are shared. The public showcase permits streaming only and does not permit downloads. You may remove any track from the showcase at any time from within your account, and such removal takes effect immediately. Refer to the Artist Showcase documentation for the applicable procedure.

4.4 License to Us

You grant RobottWorks a limited, non-exclusive, worldwide, royalty-free license to host, store, back up, display, stream, and process Your Content solely to the extent necessary to provide, maintain, and improve the Service for you, including the caching and streaming of MP3s as described in Section 4.3 and the public streaming of any track you have elected to feature on your showcase. This license terminates upon deletion of Your Content, its removal from your showcase, or closure of your account, save for copies retained temporarily in routine backups or as required by applicable law.

4.5 Your Responsibilities

You are solely responsible for Your Content and represent and warrant that you hold all rights, licenses, consents, and permissions necessary (including from co-writers, collaborators, and rights holders) to store Your Content in the Service, to share or publicly stream it, and to represent any ownership or split information as accurate. You shall not store, share, or stream any content that infringes the intellectual property or other rights of any third party.

4.6 Split Sheets and Electronic Signature

The Service enables you to generate split sheets and to circulate them for electronic signature and delivery through our third-party e-signature provider, DocuSeal. RobottWorks is not a party to any split sheet or other agreement executed through the Service, provides no representation or warranty as to the legal validity, enforceability, admissibility, or sufficiency of any such document or signature in any jurisdiction, and does not verify the identity or authority of any signatory. Preparation, review, and execution of these documents, and their fitness for your purposes, remain your sole responsibility, and you are advised to obtain independent legal advice before relying on them.

Signature workflows, notification emails, audit trails, and document delivery are performed by DocuSeal and are subject to DocuSeal's own terms, availability, and security practices. RobottWorks shall not be liable for any delay, failure, interruption, misdelivery, non-delivery, data loss, or defect arising from DocuSeal or any other third-party provider, nor for any loss or dispute resulting from an unsigned, incomplete, disputed, or inaccurate split sheet. You are responsible for retaining your own copies of executed documents.

4.7 Accuracy of Rights and Split Data

The Service is a tool for organizing and tracking catalog, rights, and split information supplied by you. RobottWorks does not verify the accuracy of split percentages, ownership claims, or contractual terms entered into the Service and is not a party to any agreement between you and your collaborators or licensees. You are solely responsible for the accuracy of such information and for resolving any dispute concerning it directly with the relevant parties.

Acceptable Use

You shall not:

  • Use the Service for any unlawful purpose or in contravention of any applicable law or regulation;
  • Store, share, or publicly stream any content you do not have the right to use, or that infringes the copyright, trademark, or other rights of any third party;
  • Attempt to gain unauthorized access to the Service, to other accounts, or to our systems;
  • Access the Service by automated means, including bots or scrapers, without our prior written consent;
  • Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Service, except to the extent expressly permitted by applicable law;
  • Resell, sublicense, or otherwise provide access to the Service to any third party without our consent, other than to your own permitted collaborators.

RobottWorks reserves the right to suspend or terminate any account found to be in breach of this Section.

Copyright Complaints (DMCA)

RobottWorks respects the intellectual property rights of others and requires Users to do likewise. If you believe that content on the Service infringes your copyright, submit written notice to info@robottworks.com including: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its location on the Service; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized; and (e) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on behalf of the rights holder. Valid notices will be reviewed, and RobottWorks may remove or disable access to the reported material and suspend or terminate the accounts of repeat infringers.

Third-Party Services

The Service may integrate with or link to third-party services, including Stripe for payment processing, DocuSeal for electronic signature and document delivery, and third-party analytics providers. RobottWorks is not responsible for the practices, content, or availability of any third-party service, and your use of such services is governed by their respective terms and privacy policies.

Intellectual Property in the Service

Except in respect of Your Content, all right, title, and interest in and to the Service, including the TrackStage name, logos, software, design, and underlying technology, vest in RobottWorks, Ltd. or its licensors. Nothing in these Terms confers any right to use our trademarks or branding without our prior written consent.

Termination

You may cease using the Service and delete your account at any time. RobottWorks may suspend or terminate your access to the Service, with notice where reasonably practicable, in the event of a breach of these Terms, fraudulent or abusive conduct, or where required by law. Upon termination your right to use the Service ceases; provisions relating to ownership, disclaimers, limitation of liability, indemnification, and governing law survive termination.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RobottWorks does not warrant that the Service will be uninterrupted, error-free, or wholly secure. Nothing in the Service constitutes legal, financial, or other professional advice regarding rights, licensing, or contracts.

Limitation of Liability

To the maximum extent permitted by applicable law, RobottWorks, Ltd. and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our total aggregate liability for any claim arising out of these Terms or the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim, or CAD $100, whichever is greater. This figure is a ceiling on our liability, not a guaranteed or minimum payment: it caps what we could be required to pay if a claim is established, and creates no entitlement to any amount absent proven liability. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

You shall indemnify, defend, and hold harmless RobottWorks, Ltd. and its officers, directors, employees, and affiliates from and against any claim, damage, loss, liability, or expense (including reasonable legal fees) arising out of or relating to your use of the Service, Your Content, or your breach of these Terms or of any third party's rights.

Changes to These Terms

RobottWorks may amend these Terms from time to time. Where amendments are material, reasonable notice will be provided by email or in-app notification before they take effect. Continued use of the Service following the effective date of any amendment constitutes acceptance of the amended Terms.

Governing Law and Disputes

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law principles. If you access the Service from the United States, the European Union, the United Kingdom, or elsewhere, you agree that any dispute will nonetheless be resolved under British Columbia law and, subject to any mandatory consumer-protection rights in your local jurisdiction that cannot be waived, in the courts located in British Columbia, Canada.

General

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. No failure or delay by RobottWorks in enforcing any provision constitutes a waiver of that provision. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and RobottWorks, Ltd. regarding the Service.
